COPYRIGHT & LICENSING AGREEMENT

This Copyright and Licensing Agreement ("Agreement") establishes the terms and conditions for the use of photographic images and related media ("Images") created by James Poole ("Photographer"). This Agreement is governed by the laws of the State of Florida, effective throughout the United States, and applies to all real estate marketing media delivered by the Photographer.

1. Copyright Ownership

All Images captured and delivered by James Poole remain the sole intellectual property of the Photographer. The Photographer retains all rights, title, and interest in the Images, including all exclusive copyrights protected under United States Federal Copyright Law (Title 17, U.S. Code), regardless of whether the Images are delivered in digital or physical format.

2. Grant of License

Upon full payment of the invoiced amount, the Photographer grants the contracting real estate agent, broker, or homeowner ("Client") a non-exclusive, non-transferable, revocable license to use the Images solely for the purpose of marketing, promoting, and facilitating the sale of the specific subject property ("Property").

3. License Term

The license granted herein is valid for a period of one (1) year (12 months) commencing from the date the Property is officially listed for sale on the Multiple Listing Service (MLS) or otherwise brought to market. Upon the expiration of this term, or upon the successful sale, off-market status, or reassignment of the listing to a different agent, the license immediately terminates.

4. Permitted Usage

During the Term, the Client is authorized to use the Images in the following capacities, strictly provided they are directly related to the active sale of the Property:

• Uploading to the local Multiple Listing Service (MLS).

• Displaying on real estate syndication portals (e.g., Zillow, Realtor.com, Trulia).

• Inclusion in print and digital marketing materials (brochures, flyers, single-property websites).

• Posting on the Client’s professional social media channels specifically to market the subject Property.

5. Prohibited Usage & Third-Party Restrictions

Any use of the Images outside the specific scope of the Permitted Usage outlined above is strictly prohibited and constitutes copyright infringement. Specifically, the Client may not:

• Transfer, assign, sub-license, sell, or gift the Images to any third party. This includes, but is not limited to : home stagers, builders, contractors, architects, interior designers, or subsequent listing agents.

• Use the Images for the Client's general business marketing, portfolio, or brand promotion independent of the active sale of the Property (with the exception of standard "Just Sold" announcements within the License Term).

• Submit the Images to contests, architectural magazines, or external publications without prior written consent.

Usage of the Images outside of the permitted scope, including usage by third parties or for purposes not directly related to the sale and marketing of the subject Property is expressly forbidden unless an Additional License is purchased directly from James Poole.

6. Additional Licensing

Third parties (e.g., builders, stagers, or designers) interested in utilizing the Images for their own portfolio or commercial marketing must contact James Poole directly to negotiate and purchase a separate commercial usage license. Clients wishing to extend their own license term beyond the standard one-year period may also request an extension for an additional licensing fee.

7. Jurisdiction and Enforcement

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida. Any unauthorized use, distribution, or third-party transfer of the Images will be considered a violation of copyright law and may result in immediate legal action, statutory damages, and the recovery of attorney's fees.
